BUYER TERMS AND CONDITIONS ACCEPTANCE:
 
Wholesale discounted prices are available to customers that will be reselling our products to the consumer through an established retail store or website.
BabyanimalLtd. (hereinafter “Babyanimal" and/or "Seller") acceptance of your (the “Buyer”) wholesale orders is expressly made conditional on the Buyer's agreement to these terms and conditions.
Wholesale prices shall be deemed Confidential Information and must be used by the Buyer only. Publishing or revealing any Confidential Information disclosed to other retailers is strictly prohibited.
By requesting BabyanimalLtd. to supply products to the Buyer, the Buyer acknowledges and agrees to these Wholesale Terms and Conditions.

1. Minimum Order Quantity
The minimum order quantity and the minimum order value depend on each specific product selection and the requirements will be provided additionally by the Wholesale Manager responsible for your region.

2. Orders
The buyer must place an order through their Wholesale account at Babyanimal„Wholesale“ section tab on Babyanimalwebsite.

3. RRP
Products purchased from Babyanimalare recommended but not mandatory to be sold at the prices written at Babyanimalwebsite.
 
4. Wholesale Pricing
All prices are listed in different currencies. All authorized retailers will receive the wholesale prices, plus the cost of shipping. Prices are subject to change without notice.

5. Payments
BabyanimalLtd. accepts bank transfers payments.
First-time Buyers must make the full payment before the order is shipped.
Repeat Buyers may be allowed to make partially delayed payments as per certain conditions discussed with us additionally.

6. Shipping
Shipping is not included in the cost of the products. Shipping charges will be calculated and added to your wholesale order invoice, depending on the weight and the destination of the shipment.
All duty fees for US Buyers will be covered by Babyanimal. For Buyers outside the US, all duty fees must be paid by the Buyers. 
All wholesale orders will be insured in case they get lost or damaged in transit.
Babyanimalaccepts no liability for any loss or damages caused by the carrier or resulting from the Buyer's failure to comply with the carrier's delivery. If the carrier has to return the shipment to Babyanimal, then the Buyer will be liable for all shipping charges and credited for all of the products returned in sellable condition.

7. Returns
Returns must be made in writing directly to Babyanimalwithin 5 days of the delivery date, quoting invoice number and reasons. No returns are acceptable without Babyanimalprior approval.

 8. Damages and Defects
Please inspect all shipments immediately upon arrival and contact Babyanimalwithin 5 days of receipt of damaged or defective shipments. It shall be the responsibility of the Buyer to provide conclusive proof that the products are received defective or damaged. The products will be inspected for damage, defects, or inconsistencies mentioned in your claim and if the claim is approved, Babyanimalwill make a replacement.
Please note that claims for products held more than 15 days after receipt or damaged due to improper handling, misuse, or an accident, as determined by Babyanimalwill not be accepted.

9. Delivery Window
Babyanimalfulfills orders within 7-14 business days starting when the Buyer's order enters production until it is ready to be shipped. Babyanimalwill contact the Buyer to confirm the delivery time.
Any processing or turn-around time mentioned thereof is based on estimates, and Babyanimaldoes not guarantee that wholesale orders will be processed or delivered within the specified schedule.
By placing an order, you agree that we shall not be liable for delays due to major events, including non-performance by third-party service providers or inclement weather.
 
10. Intellectual Property
The Buyer acknowledges that the name "Babyanimal®", all text and graphics on Babyanimalwebsite, and all photographs of Babyanimalare the exclusive intellectual property of BabyanimalLtd.
Use of BabyanimalIntellectual Property is permitted only in relation to the sale of Babyanimalproducts. If requested by Babyanimal, the Buyer agrees to provide all uses of Babyanimal® intellectual property for the use of selling Babyanimalproducts.
